Indemnity
You will indemnify and hold "Company," its subsidiaries, affiliates, licensors, content providers, service providers, employees, agents, officers, directors, and contractors (hereafter "Indemnified Parties") harmless from any breach of these Terms of Use by you, including any use of "Content" other than as expressly authorized in these Terms of Use. You agree that the "indemnified Parties" will no liability in connection with any such breach or unauthorized use, and you agree to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and attorney's fees of the "Indemnified Parties" in connection therewith. You will also indemnify and hold the "Indemnified Parties" harmless from and against any claims brought by third parties arising out of your use of the information accessed from this site.

Information You Provide

Although under no obligation to do so, "Company" reserves the right to monitor use of this site to determine compliance with these Terms of Use, as well as the right to remove or refuse any information for any reason. Notwithstanding these rights, you remain solely responsible for the content of your submissions. You acknowledge and agree that neither "Company" nor any third party that provides "Content" to "Company" will assume or have any liability for any action or inaction by "Company" or such third party with respect to any submission. 

Security
Any passwords used for this site are for individual use only. You will be responsible for the security of your password (if any). "Company" will be entitled to monitor your password and, at its discretion, require you to change it. If you use a password that "Company" considers insecure, "Company" will be entitled to require the password to be changed and/or terminate your account.

You are prohibited from using any services or facilities provided in connection with this site to compromise security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g., password guessing programs, cracking tools, or network probing tools) is strictly prohibited. If you become involved in any violation of system security, "Company" reserves the right to release your details to system administrators at other sites in order to assist them in resolving security incidents. "Company" reserves the right to investigate suspected violations of these Terms of Use.

"Company" reserves the right to fully cooperate with any law enforcement authorities or court order requesting or directing "Company" to disclose the identity of anyone posting any email messages, or published or otherwise making available any materials that are believed to violate these Terms of Use.

BY ACCEPTING THIS AGREEMENT YOU WAIVE AND HOLD HARMLESS "COMPANY" FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY "COMPANY" DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER "COMPANY" OR LAW ENFORCEMENT AUTHORITIES.

Buy-out Provision
Any DDE site owner that sells their license of DDE to another person or entity will be required to contact HC Consulting Group and alert HC Consulting Group to the buy-out. A fee of 5% of the sales price will be paid to HC Consulting Group by the original site owner. The new owner will take over the monthly hosting account payments as well as any other paid services that are provided by HC Consulting Group. Those service fees will be paid directly from the new entity to HC Consulting Group.

Offers on websites
The Company takes no responsibility for the services or products for which Coupons may be redeemed.  Company makes no warranty to the End Users for the quality, safety, usability, or other aspect of the product or service for which the Coupon is redeemed. Some services for which Coupons can be redeemed are activities that involve potential bodily harm (such as skydiving, etc), and for those activities, Company takes no responsibility for the service or activity being offered, and the End User takes responsibility for his or her own actions in utilizing the services for which the Coupon can be redeemed. 


International Use
Company makes no representation that the Content is appropriate or available for use in locations outside the United States, and accessing the platform/site is prohibited from territories where such Content is illegal. If you access the Service from other locations, you do so at your own initiative and are responsible for compliance with local laws.


Miscellaneous
These Terms of Use will be governed and interpreted pursuant to the laws of the State of Georgia, USA, notwithstanding any principles of conflicts of law, You specifically consent to personal jurisdiction in the State of Georgia in connection with any dispute between you and "Company" arising out of these Terms of Use or pertaining to the subject matter hereof. The parties to these Terms of Use each agree that the exclusive venue for any dispute between the parties arising out of these Terms of Use or pertaining to the subject matter of these Terms of Use will be in the State and Federal courts in Atlanta, Georgia. If any part of these Terms of Use is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. These Terms of Use constitute the entire agreement among the parties relating to this subject matter. Notwithstanding the foregoing, any additional terms and conditions on this site will govern the items to which they pertain. "Company may revise these Terms of Use at any time by updating this posting.

These Terms of Use and the platform contemplated hereunder are personal to you, and are not assignable, transferable or sub-licensable by you except with Company prior written consent. Company may assign, transfer or delegate any of its rights and obligations hereunder without consent. All waivers and modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture or employment relationship is created as a result of this Agreement and neither party has any authority of any kind to bind the other in any respect. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorneys' fees. All notices under this Agreement will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service.

Dispute Resolution
A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You and the Company agree that any cause of action arising out of or related to the platform must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred.

CONDITIONS OF USE
If you decide to visit the Company websites, your visit and any possible dispute over privacy is subject to the Privacy Statement and our Terms of Use, including limitations on damages, arbitration of disputes and application of Georgia state law.
